For twenty years, Stephanie has been advising business and non-profit entities on their governance, from internal bylaws and operating agreements to legislative and regulatory strictures. Stephanie’s current focus is advice to non-profit, government and corporate executives, boards, trustees, directors, staff and employees.  She is focused on advising on and preparing organizational structures, including operating agreements, terms of reference, corporate filings, and other governance documents.

Representative Matters

  • Drafted non-profit articles and operating agreement for incorporation of political organization’s incorporation.
  • Advised non-profit board regarding directors’ and officers’ liability and insurance.
  • Drafted and revised incorporation documents and operating agreement for incorporation of real estate LLC.
  • Advised LLC members as to management and sale of real property, and proposed structure of business.
  • Advise non-profit board directors and CEO regarding potential settlement of estate bequest matter.
  • Researched and prepared filings for California foreign business registration for infrastructure companies.
  • Prepared winning brief in state trial court in case regarding fiduciary duties of managing members to other members during restructuring of hedge fund.
  • Negotiated contentious dissolution of four-partner investment firm and drafted settlement agreement and new organization structural documents.
  • Researched and wrote firm white paper on debt issuers’ section 10b-5 liability under securities fraud laws.
  • Performed review of Employee Policies to ensure compliance with new regulations.
